In the current position I've realised strategic projects: •Under the period of Bank transformation and changing of the state-run shareholders – co-leader of M&A process and managed valuation, due diligence and GR (two federal laws support and cooperation with Federal Property Management Agency and Deposit Insurance Agency). Transformation Road Map leader. The change of control was done in Dec 2017. • As part of the above mentioned deal I've co-led the project for «cleaning» the Bank balance sheet from the toxic assets - under the Road map with Deposit Insurance Agency. • Presented the strategic financial model of «Completion the construction of apartment houses of “SU155 developer” (the former largest Russian House Developer) for USD500M. The Bank was appointed by the Russian Federal Government as the State Agent to provide finance for “completion the construction of the apartments…” in Dec 2015. • Realised the Digital transformation project in Corporate business - in the process. • Organised an investment process with industrial manufactories and plants (in the bankruptcy processes) - Investment teasers, Memorandums, Basic term sheets, Financial models. Operations: • Manage finance position of the OJSC “Scherbinski Elevator Plant” (www.shlz.ru). Sales growth from USD 150m to 200m, EBITDA growth from USD5 to 30m in a year. • Realized a wide range of investors’ activities with USA (OTIS), Germany (Schindler), Scandinavia (Kone) and France. • Created list of receivables to the “Russian regional funds for apartment housing overhaul” by the factoring banking product for USD 60m. Consolidate and manage new international businesses plan and monitor adequacy of financial valuation. Solved the range of fiscal tasks in terms of international business structuring. Leaded negotiation and implementation of equity raising, quasi-debt partnerships, M&A and joint ventures under Russian and English law in Russia and CIS, Middle East, the EU, China and the USA and Canada. Report to Senior Vice President and CEO. Managed cross-functional executive teams up to the integration phase of the new units, successfully supporting working capital and other finance requirements; leading out the business to profitability. Participate in the Strategic and Investment Committees. Address and resolve concerns relating to the business strategy and underlying condition through communicating with dozens of stakeholders and internal teams. Lead the strategic projects: • Started from the end of 2014 done the execution of new business for TMK in the oilfield servicers – well completions. Defined business and marketing strategy, presented business plans of separate investments projects. Led working group on a joint venture with Global Oil Service Major company starting with a production and marketing and finishing with a structuring of the business. Realized a range of the meeting with VPs of Rosneft, Gazpromneft, Lukoil, NNG and others. Coordinated an internal company decisions regarding moving of intellectual property (IP), technologies and developing R&D in the Russian market. Directed negotiations with strategic players in the segments. Main task was to balance between risks/own investments in to new business and a depth of production cooperation with partners. Types of new products: liner hungers, packers, sleeves for multistage fracturing, screens, LWD/MWD (measuring / logged well drilling) operating in potentials. • Started from 2014 led structuring of creation and promotion of new CRA OCTG product range (corrosion resistance alloy oil country tubular goods) to Gazprom and oil majors, where 70% of chrome and nickel are sulfureted hydrogen corrosion resisted. Price of one tone of pipes is 30-50 times more than carbon steel grades. Key partner was Spanish non-ferrous metallurgical company, which is a supplier of the billets and co-investor into the cold-rolling mill, threading and finishing operations. • During 2013-2014, run as the general manager reported to the Board of Directors for Joint venture with Salzgitter Mannesmann Precision. The project was on the latest stage of completion with approved investments. Signed Term Sheet and antitrust in several countries were done. Due to stagnation of automotive industry the project was hold on. • Restructured of TMK-Inox (former JV with Rusnano) production capacities for welded and seamless stainless pipes to atomic and other applications. The partner was Marcegaglia Italian strategic player. • Starting from 2010, headed from TMK side of the joint venture project with Belgium Lhoist Group – the world leader in lime market for steel, glass and paper industries. Invested euro 30m, from 110m committed, in to the quarry and burning kilns in Sverdlovsk region. Done corporate coordination, government relationships and local partners support. • From 2011 to 2014 led a non-core TMK business on a cement production in Ural region with Ural-Cement LLC (usd 250m). There were marketing and business plans presentations to the equity and debt investors in Russia, EU and China which are: Gazprombank, VEB, Buzzi, Heidelberg, Holcim, SINOMA, AFECC. There was a signed contract with AFECC done during Russian and Chinese Prime Ministers meeting in 2014. It’s hold on due to the ruble devaluation. Closed deals: Disposal of hydropower generations in Romania to Czech Cez in 2011 (euro 20m); Acquisition of 51% in Omani based pipe plant in 2012 (usd 60m); JV creation with Rusnano – TMK-Inox in 2010 (usd 80m); Support for acquisition of US based IPSCO steel and pipe company for usd 1,900m in 2008; Acquisition of pipe plant in Kazakhstan in 2008 for usd 35m (developed new premium connections capacities for oil and gas pipe customers).
